Overview
Tobacco is the world’s number one cause of preventable death, killing over 8 million people every year.  Most people are not aware that they finance Big Tobacco through their investments, superannuation, banking and insurance companies. Tobacco Free Portfolios (TFP) is the only organization in the world focused solely on tobacco-free finance.  Dr Tedros Ghebreyesus, the Director-General of the World Health Organization (WHO), has described the work of Tobacco Free Portfolios as “the missing piece of global tobacco control”.  The WHO predicts that the world is on track for one billion tobacco-related deaths this century.  To avoid this forecast, the finance sector must become a partner for change.
Tobacco Free Portfolios (TFP) is seeking a volunteer, based in Melbourne to take on the role of Governance Manager.  This is a key role to assist Tobacco Free Portfolios to meet the demands of a growing organisation, by managing effective governance and compliance related activities.

Role Title
Governance Manager - Tobacco Free Portfolios.

Hours
Part-time role (approximately 10-15 hours per week).

Qualifications and skills
The Governance Manager would ideally have experience working in governance roles and a Graduate Diploma in Applied Corporate Governance or similar qualification.  The successful candidate will be reliable and knowledgeable with excellent organisational skills and attention to detail.  He/she will be able to deliver to set timelines. Excellent written and verbal communication skills are crucial for this role. The successful candidate will display initiative, be comfortable working independently and self-sufficient. He/she will have warm interpersonal skills and enjoy working alongside a small commitment team.
It is preferable, but not essential that the successful candidate has experience in the not-for-profit sector.  Experience in finance, health or advocacy would be well considered.
The successful candidate will understand and adhere to the strict requirement for confidentiality in relation to all discussions. 
 
Key Responsibilities
Governance
  • Ensuring requirements of the Australian Charities and Not-for-Profits Commission (ACNC) are adhered to, which includes submission of the Annual Information Statement and ensuring the TFP Charity Register on the ACNC portal is up to date.
  • ASIC lodgments as required (i.e. officeholder changes).
  • Oversee governance matters, including legal and regulatory requirements.
  • Maintaining TFP’s company registers.
  • Managing meetings of the TFP Board, including drafting agendas, preparing papers, attending Board meeting and preparing minutes.
  • Scheduling of Members meetings, including Annual General Meetings and ensuring compliance obligations are met.
  • Managing actions from meetings to ensure corporate governance and compliance obligations are met.
  • Managing circular resolutions as required.
  • Liaising with TFP’s broker to maintain relevant insurances for the organisation.
  • Maintaining business name/s registration.
  • Manage and review TFP policies.
  • Manage governance practices, procedures and standards.
Grants, Funding, Donors, Support Partnerships and Association Memberships
  • Management of reporting obligations.
